1. Acceptance of Terms

By accessing the website or using applications provided by Circo Industries LLC ("Company," "we," "us"), you agree to be bound by these Terms of Service.

2. License Grant

Subject to your compliance with these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our software services (including the DirGen™ application) for your internal business purposes.

3. Restrictions

You shall not:

• (a) reverse engineer, decompile, or attempt to extract the source code of our applications;
• (b) use the services for any illegal purpose;
• (c) sublicense or resell the services without express written consent.

4. Intellectual Property

All rights, title, and interest in and to the services, including all software and branding, are and will remain the exclusive property of Circo Industries LLC.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CIRCO INDUSTRIES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

6. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

7. Governing Law

These Terms shall be governed by the laws of the State of Oregon, without regard to conflict of law principles.
